Terms of Service
SoftAgility LLC — Beacon SaaS Platform
Effective Date: March 18, 2026
Please read these Terms of Service (“Terms”) carefully before using SoftAgility Beacon or any other services offered by SoftAgility LLC (“SoftAgility,” “we,” “us,” or “our”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- “Service” means the SoftAgility Beacon software platform, including all features, APIs, dashboards, and related tools made available by SoftAgility LLC.
- “Customer” or “you” means the individual or legal entity that registers for or uses the Service.
- “User” means any individual authorized by Customer to access the Service under Customer’s account.
- “Subscription” means the paid or trial plan under which Customer accesses the Service.
- “Customer Data” means any data submitted to or collected through the Service by or on behalf of the Customer.
2. Acceptance of Terms
By creating an account, clicking “I Agree,” or otherwise accessing the Service, you represent that: (a) you are at least 18 years old; (b) you have the legal authority to enter into this agreement on behalf of yourself or your organization; and (c) you agree to these Terms and our Privacy Policy, which is incorporated herein by reference.
3. Account Registration and Security
3.1 Registration
You must provide accurate, current, and complete information when creating an account. You agree to keep your registration information up to date.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@softagility.com if you suspect unauthorized access.
3.3 One Account per Customer
Each Customer may maintain one primary account. You may not share account credentials across multiple organizations or use the Service to provide services to third parties without our prior written consent.
4. Subscriptions and Payment
4.1 Subscription Plans
The Service is offered on a subscription basis. Details of available plans, pricing, and features are described on our pricing page. SoftAgility reserves the right to modify pricing with 30 days’ written notice.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. All fees are non-refundable except as expressly set out in these Terms or required by applicable law.
4.3 Free Trials
SoftAgility may offer free trial periods at its discretion. At the end of a trial, you must elect a paid plan or your access will be suspended. We reserve the right to modify or cancel free trial offers at any time.
4.4 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by any taxing authority on your use of the Service, excluding taxes on SoftAgility’s net income.
4.5 Late Payment
If payment is not received when due, we may suspend or terminate your access to the Service. Accounts that remain unpaid for more than 30 days may be permanently deactivated and Customer Data may be deleted.
5. Permitted Use and Restrictions
5.1 License
Subject to these Terms, SoftAgility grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your Subscription term.
5.2 Restrictions
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service
- Copy, modify, or create derivative works of the Service or any related documentation
- Sell, resell, sublicense, rent, or lease the Service to third parties
- Use the Service to build a competing product or service
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Service except via our published API
- Upload or transmit malicious code, viruses, or any harmful content
- Use the Service to violate any applicable law or regulation
- Circumvent or disable any security or access controls within the Service
6. Customer Data
6.1 Ownership
You retain all rights, title, and interest in your Customer Data. SoftAgility does not claim ownership of Customer Data.
6.2 License to Customer Data
You grant SoftAgility a limited, non-exclusive license to access and process Customer Data solely as necessary to provide and improve the Service, and as described in our Privacy Policy.
6.3 Data Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of Customer Data. You represent that you have all necessary rights and permissions to submit Customer Data to the Service, including with respect to any end-user personal data.
6.4 Data Retention
Upon termination of your account, SoftAgility will retain Customer Data for up to 30 days, during which you may request an export. After this period, Customer Data will be deleted from our systems except where retention is required by law.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential (“Confidential Information”). Neither party will disclose or use Confidential Information except as necessary to perform its obligations under these Terms. This obligation survives termination for three (3) years.
8. Intellectual Property
SoftAgility retains all rights, title, and interest in the Service, including all software, technology, designs, trademarks, and documentation. Nothing in these Terms transfers any intellectual property rights to you. Feedback or suggestions you provide may be used by SoftAgility without obligation or compensation to you.
9. Uptime and Support
SoftAgility will use commercially reasonable efforts to make the Service available. We do not guarantee uninterrupted or error-free access. Planned maintenance will be communicated in advance where practicable. Support is provided via email at support@softagility.com during standard business hours.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access. SoftAgility does not warrant that the Service will be error-free or that any defects will be corrected.
11. Limitation of Liability
To the maximum extent permitted by applicable law, SoftAgility LLC and its officers, members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or your use of the Service, even if advised of the possibility of such damages.
In no event shall SoftAgility’s total cumulative liability exceed the fees paid by you to SoftAgility in the twelve (12) months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless SoftAgility LLC and its officers, members, employees, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any applicable law or third-party rights.
13. Term and Termination
13.1 Term
These Terms are effective as of the date you first access the Service and continue until your Subscription is terminated.
13.2 Termination by You
You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
13.3 Termination by SoftAgility
SoftAgility may suspend or terminate your account immediately if: (a) you breach these Terms; (b) you fail to pay amounts due; (c) we determine your use poses a security risk; or (d) we discontinue the Service.
13.4 Effect of Termination
Upon termination, your license to use the Service ends immediately. Sections 6.4, 7, 8, 10, 11, 12, and 15 survive termination.
14. Modifications to the Service and Terms
SoftAgility reserves the right to modify the Service or these Terms at any time. We will provide at least 14 days’ notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Maine, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Portland, Maine. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
16. General Provisions
16.1 Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and SoftAgility regarding the Service and supersede all prior agreements on this subject.
16.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
16.4 Assignment
You may not assign these Terms without SoftAgility’s prior written consent. SoftAgility may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
